Under the agreement with Miami-based hedge fund management firm Kaos Capital, the Toronto-based crypto-trading platform operator will nominate six current directors and three replacements to stand for election at WonderFi’s May 21 annual meeting. (The Logic)
Talking point: Kaos was leading a push by investors to replace what they previously called WonderFi’s “entrenched and disorganized board,” in an effort to improve the Toronto-based crypto-platform operator’s stock performance. WonderFi was down nearly two per cent Wednesday following the announcement. Under the agreement, WonderFi will nominate new directors Rob Godfrey—a banker and son of former Postmedia and Toronto Blue Jays CEO Paul Godfrey—Zola Global partner Igor Gimelshtein and Kristin McAlister, a director of WonderFi shareholder Mogo. If elected, they will replace former Dragons’ Den star and Mogo director Michael Wekerle, Jason Theofilos and G. Scott Paterson. Mogo, which supported Kaos’s campaign, has agreed to sell 20 million of its approximately 87 million WonderFi shares.
